1. Acceptance of Terms

By accessing or using the services provided by SSWebDesign ("we", "us", or "our"), including visiting our website or engaging our web design, development, hosting, or maintenance services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

2. Description of Services

SSWebDesign provides various web-related services, including but not limited to custom website design, website development, website hosting, domain registration, website maintenance, search engine optimization (SEO), and branding services, as detailed on our website and in specific client agreements. We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice.

3. User Responsibilities

As a user or client, you agree to:

  • Provide accurate, current, and complete information as requested for the provision of Services.
  • Provide necessary content (text, images, logos, etc.) in a timely manner as required for project completion, unless content creation is part of the agreed Services.
  • Provide timely feedback and approvals during the design and development process.
  • Ensure that any content provided by you does not infringe upon the intellectual property rights or privacy rights of any third party.
  • Comply with all payment obligations as outlined in your service agreement or on our pricing page.
  • Use the Services in compliance with all applicable local, state, national, and international laws and regulations.

4. Intellectual Property

Client Content: You retain all ownership rights to the content (text, images, logos, etc.) you provide to us for use in your website.

Website Design and Code: Upon full payment for the Services, we grant you a perpetual, worldwide license to use the final website design and code created specifically for you. However, we retain ownership of all underlying tools, methods, pre-existing code, and generic elements used in the creation process. We also reserve the right to display your completed project in our portfolio and marketing materials unless otherwise agreed in writing.

Our Content: All content on the SSWebDesign website itself, including text, graphics, logos, and software, is the property of SSWebDesign or its licensors and is protected by intellectual property laws.

5. Payment Terms

Payment for Services is due according to the terms specified in your service agreement or at the time of purchase for subscription plans listed on our website. For project-based work, a deposit may be required before work commences, with the balance due upon completion or at agreed milestones. For subscription services (e.g., hosting, maintenance), payments are typically billed monthly or annually in advance. Failure to make timely payments may result in suspension or termination of Services. All fees are non-refundable unless otherwise specified in a separate agreement or required by law.

6. Limitation of Liability

To the fullest extent permitted by law, SSWebDesign shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; (c) any content obtained from the Services; or (d) unauthorized access, use, or alteration of your transmissions or content. In no event shall SSWebDesign's aggregate liability for all claims relating to the Services exceed the amount paid by you to SSWebDesign for the Services in the 12 months preceding the claim.

7. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. SSWebDesign expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the courts located within Miami-Dade County, Florida.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, typically by posting the updated Terms on this page. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
